Terms of Service
These Terms of Service (the "Terms") govern your use of the AI Collider website and of the software and services provided by AI Collider Inc. (federal corporation no. 1783882-4, "AI Collider", "we", "us"). Our services include AI call answering, chat, aerial measurement, automated quoting, scheduling and related tools (the "Services"). A signed order form, proposal or service agreement with us (an "Order") forms part of these Terms. If an Order conflicts with these Terms, the Order governs.
1. Who may use the Services
The Services are for businesses. By accepting these Terms or signing an Order on behalf of a business, you confirm that you have authority to bind that business ("you" or the "Client"). You must be at least the age of majority in your province or territory.
2. What we provide
We configure and operate AI assistants that answer calls and messages in your business's name, collect caller details, estimate job sizes from photos or aerial imagery, and prepare quotes and bookings based on the pricing rules you give us. The features you receive depend on your tier and add-ons, as described in your Order.
3. Automated results need your review
- AI can be wrong. AI assistants can mishear, misunderstand or give incomplete answers. Measurements taken from aerial or satellite imagery and customer photos are estimates. They are not surveys and may differ from on-site conditions.
- Your pricing, your quotes. Quotes are calculated from the prices and rules you set. You are responsible for reviewing and approving your pricing rules and for any quote sent in your name, including quotes sent automatically when you have chosen to enable automatic sending. Quotes that fall outside the rules you set, or that the system cannot measure with confidence, are held for your review.
- No guaranteed results. We do not guarantee any particular number of leads, bookings, revenue or savings. Figures shown on our website, including sample quotes, are illustrations.
4. Your responsibilities
- Callers and customers. You will make sure your customers can be lawfully contacted and that callers are told they are speaking with an automated assistant and that calls may be recorded and transcribed. We provide a standard greeting for this, and you agree not to ask us to remove it.
- Lawful use. You will not use the Services to make unsolicited marketing calls or messages, or for any unlawful, deceptive or harmful purpose. You are responsible for complying with Canada's Anti-Spam Legislation (CASL), the CRTC Unsolicited Telecommunications Rules and consumer protection laws in your own marketing.
- Accurate information. You will give us accurate business information, prices, service areas and policies, and keep them up to date.
- Accounts. You are responsible for activity under your accounts and for keeping your login details secure.
5. Fees and billing
Fees, setup charges and billing terms are set out in your Order and on our pricing page. Unless an Order says otherwise: prices are in Canadian dollars and exclude applicable taxes; monthly fees are billed in advance; setup fees are due as stated in your Order; and usage-based charges, where they apply, are billed as described in your Order. We may suspend the Services if an invoice is more than 30 days overdue, after giving you notice. We may change list prices for future billing periods with at least 30 days' notice. Founding-partner and other locked rates apply as written in your Order.
6. Term and cancellation
Unless your Order sets a minimum term, you may cancel at the end of any monthly billing period by notifying us in writing. Fees already paid are non-refundable except where your Order or applicable law says otherwise. We may suspend or end the Services if you materially breach these Terms and do not fix the breach within 15 days of our notice, or immediately if your use creates a legal or security risk. After cancellation, you may request an export of your data within 30 days, after which we will delete or anonymize it as described in our Privacy Policy.
7. Your data
You own your business data and your customers' information ("Client Data"). You grant us a licence to use Client Data only to provide, secure and support the Services for you, and as described in our Privacy Policy. For your customers' personal information, we act as your service provider. You remain responsible for having a lawful basis to collect it and for answering your customers' privacy requests, and we will help you do so. We may use de-identified and aggregated data, which no longer identifies you or any individual, to measure and improve the Services.
8. Our property
The Services, including our software, prompts, workflows, measurement methods and models, and all improvements to them, belong to AI Collider Inc. or its licensors. You may not copy, reverse-engineer, resell or build a competing product from the Services. If you send us feedback, we may use it without obligation to you.
9. Third-party services
The Services rely on third-party providers, such as telephony, voice and language AI, mapping and imagery, email delivery, hosting and payments. Their availability is outside our full control. Where a third-party product you connect (for example your CRM or calendar) has its own terms, those terms apply to your use of it.
10. Availability and support
We work to keep the Services available and to fix problems promptly, but we do not guarantee uninterrupted or error-free operation unless an Order includes a service level commitment. We may update the Services from time to time. If a change materially reduces core functionality, we will give you reasonable notice.
11. Website demos
The voice and chat demos on our website connect to AI assistants run by our providers. Conversations are processed to generate replies and may be logged to improve our demos. Please do not share sensitive personal, health or payment information in a demo.
12. Warranty disclaimer
Except as expressly stated in these Terms or an Order, and to the extent permitted by law, the Services are provided "as is", and we disclaim implied warranties, including merchantability and fitness for a particular purpose.
13. Limitation of liability
To the extent permitted by law: (a) neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or lost business; and (b) each party's total liability arising out of these Terms is limited to the fees you paid in the 12 months before the event giving rise to the claim. These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify us against third-party claims arising from your pricing, your quotes and services to your customers, your Client Data, or your breach of these Terms or of law. We will defend and indemnify you against third-party claims that the Services, as provided by us, infringe that party's intellectual property rights.
15. Confidentiality
Each party will protect the other's non-public business information with reasonable care and use it only for the purposes of these Terms.
16. Changes to these Terms
We may update these Terms. For active Clients, material changes take effect 30 days after we notify you by email, unless you cancel before then. The current version is always on this page.
17. Governing law
These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there. The courts located in Ottawa, Ontario have jurisdiction, except where the law of your province requires otherwise.
18. Language
These Terms are available in English and French, and both versions are equally authoritative. Clients in Québec receive the French version before signing. Version française des présentes conditions.
